Paralegal The candidate should be responsible for assisting attorneys in the coordination of all phases of a company’s lifecycle. Will require positive contact and communication with clients, attorneys and staff, and the ability to work seamlessly and effectively as part of a team. Will work within our Income Tax Department, with responsibilities relating to all stages of business transactions (primarily with LLCs but to a lesser extent with partnerships, S corporations and C corporations), including but not limited to preparation of relevant entity formation documents, and assisting attorneys with IRS filings. Should perform varied work situations of moderate degrees of complexity, and involves regular contact with others inside and outside the firm including partners, associates,and members of other departments or other offices, clients, intermediaries, and other professionals. Assist lawyers in the preparation of documents for limited liability companies, partnerships and corporations including formations, amendments, contributions, withdrawals, resolutions, mergers and dissolutions. Maintain a library of electronic and hard copy legal documents. Complete stock certificates and stock ledgers. Create and maintain entity binders and books. Provide lawyers with assistance in the preparation for and closing of various business entity transactions. Work directly with attorneys and clients during closings and business entity transactions. Prepare audit letters for distribution to auditors and clients. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests. Assist with the completion and filing of IRS Forms SS-4, 8832, and other similar forms for the purpose of entity registration and classification, including issues relating to obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies; and perform other job related duties as assigned and assist attorneys when needed. Must have Bachelor’s Degree required; demonstrated academic excellence. Should have 4+ years as a paralegal, preferably 2+ years within a law firm’s corporate practice group.

This firm needs to offer better means of advancement. If people want to advance within a firm you need to expand your firm or employees will leave.

Pros : When I started with this firm management did a great job training me for the position and being sure to answer any questions or concerns I had. Employees were also very helpful in the firm and never had any issues with employees.
