Senior Associate Real Estate Counsel The candidate will maximize the development of internal talent through regular performance coaching, performance reviews and presenting developmental opportunities. Will align area objectives with the strategic goals of the department. Independently negotiate and draft various commercial real estate related documents, including letters of intent, commercial leases, purchase agreements, easements, REAs, municipal agreements, construction contracts, SNDAs, estoppels and right of first refusal offers. Work directly with site selectors, permit managers and outside counsel (where appropriate) to obtain necessary permits on schedule, including preparation and review of land use and zoning applications, conferences with local counsel and attendance at municipal hearings. Manage all real estate financings and loan closings. Manage all real estate closings and lease commencements in geographic area. Evaluate and negotiate eminent domain/condemnation offers and manage related litigation. Evaluate real estate tax assessment increases and manage tax assessment appeals litigation. Provide legal advice and opinion to Real Estate Directors, Real Estate Site Selectors, and Permit Managers on contract, bankruptcy, zoning, land development, title, and environmental issues. Independently negotiate disputes with existing landlords, neighbors and other parties. Manage and control use of third parties including outside counsel on permitting/zoning matters and related litigation. Provide legal guidance to firm and related entities (CLI/SDS/PTM) in relation to financing, construction contracts, warehouse / office / facility /distribution center real estate needs. Should have Juris Doctorate degree. Must have 7+ years of experience with background of 5+ years in commercial real estate law and retail leasing, with preferred mix of private practice and in house experience. Excellent negotiation writing and communication skills are required. Should have License to practice law in at least one state in which firm operates and ability to obtain PA Bar license in 1 year.
