Associate Counsel - Real Estate & Venture Capital Transactions Duties: Legal advice and documentation of industrial, commercial, residential and agricultural real estate transactions. Duties include negotiating terms and conditions, preparing purchase and sale agreements, transfers of title and deeds, property acquisitions, financing, security documents (including deeds of trust) survey and due diligence, simple and complex letters of interest. Prepares and negotiates construction contracts and sub-contracts. Documents real estate limited partnerships and joint venture agreements. Drafts notes, deeds of trust, loan agreements, subordination agreements, loan modification agreements, guarantee agreements, debt sharing agreements and other documents necessary for financial or real estate venture capital transactions. Documents commercial, residential and office lease transactions. Advisory work related to title insurance, options, lease-options, easements, conservation easements, easement licenses, restrictive covenants, subdivisions, parcel maps, construction and construction defect matters, real estate brokerage, land entitlements. Working knowledge of land use, development law and zoning laws. Basic knowledge of income and real estate property tax, transfer tax, and tax free exchanges. Consult with Senior Associate Counsel as directed. Supervise the work of legal assistants and paralegals.
Qualification and Experience
Requirements: Must have a JD Degree and be licensed to practice law in California (a Juris Doctor from an ABA accredited law school is highly preferred). 6+ years of post-graduate professional legal experience in a law firm or in-house counsel setting. Attorneys with 9+ years of such experience are preferred. Excellent written and verbal communication skills. Ability to communicate effectively with other professionals in the legal department and business teams is required. Significant experience with commercial and/or residential real estate transactions. Experience representing commercial landlords or tenants a plus. Detail oriented with excellent judgment and analytical skills. Must work well under pressure. Proficient in Microsoft Word, MS Outlook, Excel and related software programs. Familiarity with legal research tools and databases, such as LexisNexis, Lexis Advanced, CEB and others. Must have good common sense, and a sense of humor a plus.
