Senior Corporate Finance Attorney The candidate assists the Legal Department and works in cooperation with Company management, providing general and specialized legal advice and services to Company personnel handling finance and treasury matters. Actively engage and provide legal guidance related to financial and treasury matters, including: debt offerings; credit facility agreements, equity offerings; hedging documents, banking agreements and related public filings; risk management; Dodd-Frank, SEC, FERC and other compliance matters; business development. Proactively provide routine and non-routine legal research and analysis. Prepare, review and interpret routine and non-routine legal documents, including complex financial agreements and instruments. Analyze and manage counterparty and credit risks. Develop and embed best practices including form agreements and standing guidance to enhance efficiency. Perform other duties and responsibilities as assigned by Legal Department management. Manage external counsel per company and Legal policies. May provide leadership guidance to junior level attorneys. Provide leadership or represent the Company in industry or community affairs. Represent the Company before courts and agencies.
Qualification and Experience
The candidate must have JD degree from an ABA accredited law school and 6+ years of relevant legal experience. Should have licensed to practice law in the state of residence and in good standing. Strong experience in finance matters required; experience in real estate and business development matters is preferred. Experience interpreting and applying statutory and regulatory law to finance transactions and agreements is must. Extensive domestic and international deal and financing management and closing experience is preferred. 1933 Act and 1934 Act experience, including public and private debt and equity offerings and advising corporate clients on general securities laws is a plus.
