Paralegal II / III (Contracts Specialist) DUTIES: Will have in-depth contract management and negotiation expertise. Will report to an attorney in the Law Department and work with the Strategic Sourcing department in its contract completion and management functions. Assisting in-house attorneys and stakeholders in the review, drafting and negotiation of a wide variety of agreements, including nondisclosure agreements, letters of intent, purchase and service agreements, use and demonstration of equipment agreements, technology purchase and service agreements, software licenses, operating agreements and other documents needed to source goods and services to support a freight railroad. Consulting with the Strategic Sourcing, Risk Management, Finance, Environmental, and Tax departments on contract issues. Assisting in-house attorneys and other employees with matters related to contract management and negotiation and compliance with company policy and regulatory requirements. Assisting with maintenance of electronic tracking system for contracts, development of form agreements, and implementation of processes and procedures for review and approval of agreements. Assisting in training internal clients on contract forms and procedures and acting as a company resource for contract questions.

Qualification and Experience

QUALIFICATIONS: Bachelor’s Degree; paralegal certificate from an ABA-approved institution; or certification as a legal assistant/paralegal from the National Association of Legal Assistants. 4-8 years’ experience focused on general corporate, general contracts, and transactional matters. Must include drafting contract language, not merely filling in blanks in forms or selecting alternate clauses. Superior knowledge of key business and contractual risks. Ability to:
Draft, review, and revise contracts. Assist with transactions. Identify, analyze, articulate and communicate business risks and positions. Identify, analyze, articulate and communicate contractual positions. Present legal and business issues effectively to senior legal and business personnel.
