A law firm seeks a seasoned and skilled Senior Capital Markets Attorney to join its dynamic team in New York. The ideal candidate will have significant experience in handling capital markets transactions, including public offerings, SPACs, and cross-border securities matters. Duties

  • Represent clients in various private and public securities transactions, including initial public offerings (IPOs), follow-on offerings, PIPE transactions, and de-SPACs.
  • Oversee and guide the preparation and filing of ‘33 and ‘34 Act filings.
  • Advise on mergers and acquisitions (M&A) and cross-border transactions, particularly involving dealings.
  • Provide counsel on capital market regulations, including SEC, FINRA, and stock exchange (NASDAQ/NYSE) compliance.
  • Advise issuers and underwriters in the capital markets, focusing on corporate governance matters and private offerings.
  • Supervise and mentor junior attorneys, guiding complex assignments and projects.
  • Maintain excellent relationships with clients while managing multiple high-profile transactions in a fast-paced environment.
  • Collaborate with a dedicated team of professionals on all aspects of capital markets law.

Requirements

  • Experience:
    • Minimum of 5 years of experience representing issuers, underwriters, and other stakeholders in capital markets transactions.
    • Expertise in handling IPOs, SPAC transactions, follow-on offerings, registered direct offerings, PIPE transactions, and de-SPACs.
    • Proven experience in securities listings on NASDAQ/NYSE or OTCQB/QX.
    • Familiarity with SEC, FINRA, and stock exchange rules and regulations.
    • Strong experience in preparing ‘33 and ‘34 Act filings and handling corporate governance matters.
  • Skills:
    • Excellent legal writing, research, and negotiation abilities.
    • Strong interpersonal and communication skills for client interaction and team collaboration.
    • Ability to manage and mentor junior attorneys and independently complete assignments.
    • Ability to thrive in a high-pressure, fast-paced environment.
  • Licensing:
    • Admission to the New York or Connecticut bar (preferred).

Education

  • Juris Doctor (JD) from an accredited law school.
  • Top academic credentials preferred.

Certifications

  • Active membership in the state bar where the office is located (or eligibility to become admitted).

Skills

  • Strong background in capital markets, M&A, and securities law.
  • In-depth knowledge of SEC regulations, stock exchange rules, and corporate governance matters.
  • Fluency in Mandarin is a plus.
  • Ability to work well as part of a team while also independently managing complex matters.
  • Exceptional communication and interpersonal skills to effectively advise clients and collaborate with team members.
