Paralegal/Compliance Manager The candidate will be responsible for the development, implementation and operation of Company’s compliance programs, and will play a key role in maintaining the ethical culture that is part of the fabric of Company. This role will oversee Company’s programs and initiatives to ensure that the organization is complying with all regulations governing its business. Establishing systematic controls and measures to monitor and demonstrate compliance will be critical to the success of the program, as will establishment of effective training and communications. In collaboration with management team, identify compliance needs, draft and maintain appropriate policies, procedures, guidelines, training materials and related communications. Build, maintain and continually improve a compliance program that is adapt at identifying, preventing, detecting and correcting areas or incidents of non-compliance. Collaborate with management team to make sure that the entire company is aware of compliance requirements and issues. Manage all employee and business process compliance activity for the entire company. Analyze all in-force contracts to determine compliance requirements. Develop internal controls and policies designed to ensure that all compliance needs are met. Monitor new contracts, as well as evolving laws and guidelines, to identify new compliance requirements and implement new policies as needed. Monitor and track all requirements to ensure compliance. Manage compliance-related reporting. Also be responsible for the development, implementation and operation of Company’s contract management systems, programs and processes. This newly created position must administer, extend, negotiate and terminate standard and nonstandard contracts. This position will manage RFx preparation, contract negotiation, contract administration, and vendor/customer contact activities to provide for proper contract acquisition and fulfillment in accordance with company policies, legal requirements, and vendor/customer specifications. Develop, maintain and manage to contract forms, processes and procedures to support organizational goals. Review contracts, including vendor proposed materials, and determine whether they seem reasonable and accurate. Ensure that all records are accurate and up to date. Write contract letters and other communications and notices. Negotiate and approve contract terms while ensuring they comply with company policies. Attend meetings to assess progress on projects which are in motion, and take detailed notes to share with stakeholders. Create regular status reports regarding progress on projects. Support the legal department as needed, including activities such as legal intake management, legal hold management, legal spend system management and litigation management.
Qualification and Experience
The candidate should have Bachelor’s Degree in Finance, Accounting or Law or related field. Must have Paralegal degree and training. Should have 5-7 years’ experience in both corporate policy management/auditing and contract administration. Must have excellent analytical, problem-solving, negotiation, drafting, and communication skills. should have advanced computer database and Microsoft Office software skills. Experience working with legal matter management systems and contract management systems highly desired. should have understanding of current regulations affecting company compliance obligations (i.e. FCPA, Antitrust, OFAC, etc.). Previous experience as a project manager, or coordinating large projects is an asset.
