A prestigious law firm is seeking a highly skilled securities lawyer with a minimum of six years of experience managing structured securities offerings. This role requires expertise in commercial real estate law, particularly in real estate finance, acquisitions, and dispositions. The selected candidate will represent public and private real estate companies, REITs, and institutional and financial investors in a variety of complex transactions, including acquisitions, dispositions, restructurings, financings, and commercial real estate development. Duties

  • Manage structured securities offerings with a focus on real estate finance, acquisitions, and dispositions.
  • Provide legal representation for public and private real estate companies, REITs, and institutional investors.
  • Handle a variety of transactions, including acquisitions, dispositions, restructurings, and complex financings.
  • Conduct legal research and provide strategic counsel on securities and real estate matters.
  • Draft and negotiate transactional documents, agreements, and disclosures.
  • Ensure compliance with relevant securities laws and regulations.
  • Collaborate with internal teams and external stakeholders to facilitate smooth transaction processes.
  • Assist in structuring investments and resolving legal challenges related to securities offerings.

Requirements

  • Minimum of six years of experience managing structured securities offerings.
  • Prior experience in a top-tier AmLaw 100 law firm preferred.
  • Strong understanding of securities regulations and real estate finance.
  • Proven ability to handle complex transactions with minimal supervision.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to practice law in the jurisdiction of application.
