Senior Corporate Counsel
Duties: Serve as second to the Chief Legal Officer providing comprehensive, business-minded legal support to executive management and controlling stockholder. Provide analysis and counsel on a variety of legal, policy, marketing, midstream, land, and environmental issues to include the following: compliance issues, nondisclosure agreements, outsourcing and contract agreements, and business planning. Work closely with the Chief Legal Officer on merger and acquisition activity including due diligence, schedule development, contract review, and related matters. Work closely with Chief Legal Officer on legal matters relating to EEOC complaints, terminations, benefits, long-term incentive plan (LTIP) administration and related matters. Work closely with the Chief Legal Officer to manage ongoing litigation matters. Execute and manage special projects working collaboratively across the business to develop, implement, and manage improvements to business processes to increase efficiency while balancing legal risks with business objectives.

Qualification and Experience

Qualifications: JD Degree from an accredited US law school. Admission to the State Bar of Texas required, and must have remained in good standing in any jurisdiction in which a license has been issued. 5+ years of experience gained from a sophisticated law firm environment and, preferably, have prior in-house legal department experience with an upstream oil and gas company. Extensive drafting and negotiating skills and experience, including a deep knowledge and understanding of corporate governance, securities law, and regulatory matters relating to a marketing company. Strong communication and interpersonal skills with the ability to create effective working relationships cross-functionally, including interfacing confidently with internal and external stakeholders on legal and business matters. A flexible, innovative and business-minded focus with a pragmatic approach to problem solving, an ability to adapt to changing requirements, schedules, and priorities, and the skill to socialize ideas, make recommendations, and gather team consensus, all while maintaining high levels of integrity and discretion. Sound judgment, decision making, and organizational skills with an ability to work independently, make decisions, and meet multiple deadlines in a dynamic work environment; under tight deadlines. Flexible and collaborative attitude, a desire to continually learn new concepts, and an unqualified commitment to honesty, responsibility, and integrity in a high demand, fast-paced office.
