Profile

Senior Corporate Paralegal Duties: Provides legal support with emphasis on corporate governance and documentation matters for company, as well as a variety of corporate legal matters. Serves as a business partner with other departments in achieving strategic initiatives. Applies a balanced business and legal focus to proactively identify and manage risks and issues and propose solutions. Apprises, consults and escalates current and potential risks/issues to the company CFO. Assist the executive board with management of litigation matters including docket management, interaction with outside counsel and discovery responses. Assist in the preparation of litigation reports and presentations to members of the management team, coordination of meetings and communications with internal clients. Ensure the legal records and work product are effectively organized. Perform administrative duties as needed by attorneys or other members of the department, including processing invoices, expense reports, scheduling, drafting, typing, calendaring, coordinating travel and other clerical matters. Document review as needed, including corporate contracts and service agreements. Work with the executive team to deliver daily legal support. Assist with SEC reporting and corporate governance issues. Manage department deadlines and goals. Research, gather and compile information as requested. Interact with internal clients as needed. Special projects as needed.

Qualification and Experience

Requirements: BA/BS degree or equivalent and/or a paralegal certification from an ABA-approved program. 10 years of specialized paralegal experience in corporate law, particularly relating to employment. Prior experience with contract law is a must. Should have extensive experience working in corporate transactions including contract creation or negotiation, mergers and acquisitions and re-incorporations. Superior communication and organizational skills. Excellent computer skills including Excel, Outlook and Word.
