A law firm in Pittsburgh, PA, is seeking a Mid-level Commercial Finance Associate Attorney with 4-6 years of experience in corporate and commercial finance transactions. The ideal candidate will provide broad coverage to all lending, finance, and investment banking businesses supported by the firm.

Duties:

  • Provide legal advice and support to a variety of lending, finance, and investment banking/advisory clients.
  • Draft, review, and negotiate legal documents related to finance transactions, including inter-creditor agreements, loan documents, and other related agreements.
  • Represent lenders, borrowers, sponsors, and institutional investors in a variety of commercial finance transactions.
  • Handle asset-based finance, cash flow finance, senior, mezzanine, and subordinated finance, as well as leveraged and acquisition finance.
  • Assist clients in structured finance, private credit, and direct lending transactions.
  • Advise on niche areas such as subscription finance, sports finance, and art finance.
  • Collaborate with internal teams and external clients to ensure timely and efficient transaction closings.
  • Maintain up-to-date knowledge of finance laws and regulations affecting the firm’s clients.

Requirements:

  • 4-6 years of experience in corporate finance and commercial finance transactions.
  • Strong experience representing lenders, borrowers, sponsors, and institutional investors.
  • Proficiency in drafting and reviewing inter-creditor agreements and other legal documents.
  • Admission to practice law in New York State or eligibility to waive into the New York Bar.
  • Excellent writing, drafting, and communication skills.
  • General corporate law experience is a plus.

Preferred Skills:

  • Experience in asset-based finance, cash flow finance, and structured finance.
  • Familiarity with leveraged and acquisition finance, senior and subordinated finance.
  • Knowledge in subscription finance, sports finance, and art finance is highly valued.
  • Strong organizational and project management abilities.
  • Ability to work effectively both independently and as part of a team.

Certifications (Preferred):

  • Active admission to the New York Bar or eligibility to waive in.
