Counsel – Commercial Transactions - The candidate will have a solid reporting line into the Assistant General Counsel for Commercial Matters. Will be primarily tasked with supporting the Company’s new Procurement Office. Work in collaboration with Vendor Risk Management, Compliance and Information Risk Management functions, to support the new Procurement Office and various department business leaders in their contracting efforts with Company vendors. Support the company’s new Procurement Office and business owners in the procurement of goods, equipment, software and services pertaining to the company’s day-to-day business, information technology and digital transformation activities. Ensure that appropriate legal, regulatory and compliance related risks are being identified and communicated to the New Procurement Office, business owners and senior management. Responsible for mitigating or otherwise addressing identified commercial and legal risks through use of appropriate contractual risk allocation provisions acceptable to the new Procurement Office and business owners. Supporting the new Procurement Office, department leaders, and the information technology and digital transformation teams, Review, draft, negotiate and advise business owners on the legal, regulatory, compliance and commercial aspects of vendor contracts to ensure that the company, through its contractual agreements, receives the intended commercial benefits of a contemplated business relationship, while minimizing the legal, regulatory, compliance and commercial risks to the company. Reviewing, drafting, negotiating and advising the new Procurement Office, business owners and senior management on vendor contracts. Working with, educating, counseling and training the new Procurement Office, business owners and senior management on identified legal, regulatory and compliance risks. Managing relationships with outside counsel who support the Company on complex commercial agreements. Supporting the Procurement Office with identifying and implementing innovative process improvements to deliver more efficient, timely, and cost-effective legal services to our business clients .
Qualification and Experience
The candidate should have 6+ years of experience as an attorney, 10-15 years is preferred. Should have 4+ years’ experience reviewing, drafting, negotiating and advising clients of legal, regulatory and compliance risks associated with U.S. commercial transactions, primarily vendor contracts relating to day-to-day business, information technology and digital transformation activities (MSAs, Service Agreements, SOWs, Licensing/SaaS/SaaP Agreements, Consulting Services Agreements). Juris Doctor degree from Accredited Law School. Undergraduate Business Degree and/or MBA in Finance, Accounting or equivalent field is desired. High business acumen with working knowledge of finance, accounting and digital transformation is essential. Excellent communication skills – interpersonal, presentation and written is essential. Should be computer savvy – skilled in the use of Microsoft Office software (Excel, PowerPoint, Word) and Serengeti matter/billing management system. Expertise in drafting and negotiating vendor contracts relating to all aspects of a company’s day-to-day business, information technology and digital transformation activities is needed. Experience with automated procurement and contract creation software applications is essential. Experience with RFQ, RFI, RFP and reverse auction processes, including the creation of supporting business requirements documentation is essential. Experience with Federal and state privacy laws and regulations, including Gramm Leach Bliley, emerging data protection and cyber-security legal requirements and CFPB and other consumer protection driven vendor compliance obligations is essential. Law firm and in-house experience is preferred. Experience with automotive finance and captive finance or banking business operations is preferred. Experience with retail installment sales contracts/automotive lease contracts is preferred. Experience with CFPB/consumer protection laws and regulations is preferred. Experience with digital transformation initiatives is preferred. Experience with money transmitter/payment processing laws is preferred.
