Corporate Paralegal The candidate will partner with in-house corporate attorneys on a broad range of matters relating to public company processes, securities compliance, commercial transactions, and general corporate projects and assist with developing and supporting legal processes and efficiencies. Will prepare appropriate draft documents, including agendas, corporate resolutions and meeting minutes, for board of directors and committee meetings. Assist corporate secretarial team with on-going public company matters, including proxy statement, annual meeting, annual and quarterly filings, disclosure committee items and form 8-K’s. Prepare reports of beneficial ownership for officers and directors on forms 3, 4 and 5. Manage the board of director’s portal site. Maintain working knowledge of SEC and NYSE governance requirements. Research and analyze corporate governance items and track industry precedent. Serve as custodian of corporate records. Maintain record for director and officer questionnaires and related party transactions. Draft correspondence to lenders on loan compliance matters. Work with legal team on maintenance of corporate compliance calendar and other policy and protocols. Assist with Company policy revisions and website/intranet postings. Work with lawyers at all stages of corporate transactions and assist with due diligence efforts and follow-on compliance. Design and support best practices Law Department document management. Process signing and distribution of legal agreements and compliance documents. Draft cover letters and other correspondence, memos, spreadsheets and closing binders as needed. Calendar and monitor deadlines. Commercial contract support, including ordinary course service contracts and confidentiality agreements.
Qualification and Experience
The candidate must have 5-7 years of paralegal experience on public company governance and securities compliance matters at in-house legal department or law firm. Must have ability to prioritize and manage multiple projects simultaneously with professionalism and meet tight deadlines in a fast paced and collaborative environment. Excellent interpersonal and written and verbal communications skills needed. Must have strong proficiency in MS Office (Word, Excel, PowerPoint), Adobe and board portal software. Real estate industry experience is preferred. Completion of ABA-approved paralegal program a plus.
