Associate General Counsel
DUTIES: Help establish and enhance in house legal support and related systems and services. Provide subject matter expertise in health law (including Stark, Anti-kickback, Medicare Advantage and TRICARE, managed care), HIPAA and data privacy and security. Work closely with compliance staff to provide support for legal questions as they intersect with compliance work. Partner with members of the management team to help them understand regulations and to allow them to think creatively, find solutions, and minimize risk. Partner with the Information Security team to address legal considerations for HIPAA security rules and data security generally. Collaborate with compliance staff to facilitate compliance related investigations. Provide general commercial and contract support across all lines of business (Medicare Advantage, skilled nursing facilities, behavioral health, institutional pharmacy, home health, hospice, and nurse practitioner services) Review, draft, and negotiate health care and health insurance related agreements and contracts; including but, not limited to, network provider agreements, payor agreements, business associate agreements, nondisclosure agreements, consulting agreements, and data use and transfer agreements. Manage relationships with outside counsel on various projects, including litigation. Support build out of legal affairs policy, process, and recordkeeping.

Qualification and Experience

QUALIFICATIONS: Law Degree (JD Degree) and active membership in the Tennessee Bar or eligibility for admission to practice as in-house counsel required. 10+ years’ experience in practice of law in areas of general corporate, health law, Medicare Advantage, managed care, compliance matters and HIPAA. Prefer some financial and M&A experience; prior in-house counsel experience; some leadership and/or management experience. Computer Skills: Advanced Excel skills. Communication Skills: Personable, with good communication skills and tact. Strong oral communication skills. Ability to serve in advisory/consultative role to promote solutions to difficult technical, administrative, and human situations. Ability to practice in a highly collaborative environment. Pragmatic problem solver who presents sensible solutions and alternatives. Quick study who grasps issues rapidly and with an informed understanding of relevant healthcare issues. Highly organized and detail oriented. Strong contract drafting. Confident negotiation skills. Strong work ethic, self-starter, with a “hands on” mentality.
