A law firm seeks an experienced Corporate M&A Partner with a strong background in mergers and acquisitions (M&A). This role is ideal for a senior attorney with at least 8 years of experience managing complex corporate transactions and leading M&A deals. The position requires expertise in drafting and negotiating transaction documents, advising on corporate governance, and managing cross-functional due diligence teams. Duties:
M&A Transaction Leadership:
- Lead M&A transactions from inception to closing, ensuring all steps are executed efficiently and client objectives are met.
- Oversee and manage due diligence teams, assessing transaction risks and identifying opportunities.
- Provide strategic advice on corporate governance matters, including entity formation, joint ventures, and licensing arrangements.
Document Drafting and Negotiation:
- Draft, review, and negotiate key transaction documents, including stock purchase agreements, asset purchase agreements, merger agreements, and confidentiality agreements.
- Advise clients on complex agreements such as credit agreements, redemption agreements, IP license agreements, and secondment agreements.
Client Management & Business Development:
- Manage a portable client base, generating at least $250,000 in annual revenue.
- Develop and implement business strategies to attract and retain clients.
- Build long-term client relationships and provide proactive, value-added legal guidance.
Corporate Governance:
- Advise clients on corporate governance issues, including entity structures, joint ventures, and regulatory compliance.
- Work closely with client’s executive teams to develop and implement corporate strategies that align with their business goals.
Requirements:
- Minimum of 8 years of experience in M&A and general corporate law.
- Prior experience in an AmLaw 200 firm or similar high-level law firm environment.
- Strong leadership and deal management skills, with a proven ability to handle complex transactions.
- A portable book of business generating at least $250,000 in annual revenue, or a demonstrated business development plan.
- Experience drafting and negotiating complex M&A transaction documents and providing corporate governance advice.
- Ability to work independently and collaborate effectively within a remote, team-oriented environment.
Education:
- Juris Doctor (JD) from an accredited law school.
Certifications:
- Licensed and in good standing with the relevant state bar.
