Profile

Corporate Paralegal Responsibilities: Form, maintain, and dissolve corporate entities in partnership with finance, operational and other teams. Subsidiary governance, including document and information management. Support board activities, such as drafting minutes, shareholder and board resolutions and consents, maintaining corporate records, and teaming with the General Counsel to support directors and officers. Provide other corporate governance support as needed. Provide support with professional licensing and registrations. Provide support to other legal and compliance areas as they relate to corporate governance matters. Perform other duties as needed.

Qualification and Experience

Qualifications: Bachelor’s degree or equivalent relevant experience. Paralegal Certification preferred. Junior attorneys may also be considered. 7-9 years' experience with corporate governance in a law firm and/or corporate legal department; in-house corporate legal department experience preferred. Excellent verbal and written communication skills, and impeccable organization and document control abilities. Keen attention to detail and quality of work product. Must be comfortable with working with colleagues in a diverse, global organization. Excellent people skills, with an ability to partner with dynamic and diverse leadership teams. Familiarity with engineering, architecture, consulting, professional services and/or construction fields a plus. Ability to effectively manage interruptions, tenacious, dependable, proactive. Possesses personal qualities of integrity, credibility, and commitment to corporate mission. Diplomatic and with ability to act with tact in a respectful and confidential manner. Manages complex workload, handling multiple project concurrently with appropriate prioritization. Energized by a fast-moving environment, working across teams and cross-culturally, while also driving toward clarity and solutions; demonstrated resourcefulness. Masterful execution, project planning and project management skills. Prior experience with launching initiatives and change management strongly desired. Fluent in MS Office Suite of tools, including Excel and PowerPoint.
