Commercial Counsel The candidate provides a unique opportunity to work with senior business leaders around the world on transactions of significance for a $30 Billion Semiconductor Company. Primary Objective: Work with business leaders to negotiate and draft commercial and licensing agreements, and in particular joint development agreements, master sales and purchase agreements, master professional services agreement, memorandums of understanding, software licensing agreements (inbound and outbound), and if possible, patent license agreements. Will support the Company’s business in negotiating commercial agreements with customers, vendors, suppliers, universities, and other partners. Knowledge of commerical disputes, including contractual disputes and cost claims is also benefical. Understanding of the UCC is also valued. Will report to the Company’s Vice President, for Intellectual Property and Commercial Matters. Knowledge of general commercial agreements is essential. Experience with licensing (software, hardware or patent) is also highly valued. Must be able to function well in a small in-house legal group, and must be adaptable to the needs of the position. As the primary legal point of contact for one or more of divisons, the candidate will need to be self driven, and function autonomously to perform a wide variety of duties, as assigned. Should have Juris Doctor from ABA accredited law school, or equivalent international credential. Must have B.S. from accredited undergraduate institution. 4 years of experience supporting corporate or commercial deals is required. However, candidates with additional experience are expressly encouraged to apply, and compensation will be adjusted commensurate with a candidate's experience level. Excellent communication skills. Licensing experience and experience in the semiconductor industry are strongly preferred.
