Vice President, Corporate Counsel The candidate will report to the Chief Disclosure Counsel. Will advise with respect to, and ensure compliance with legal requirements pertaining to, Annual Reports on Form 1O-K, Quarterly Reports on Form 10-Q, and Current Reports on Form 8-K. Advise with respect to materiality determinations, the use of non-GAAP financial measures, and other disclosure issues. Advise Investor Relations and Global Communications on securities laws issues affecting internal and external communications, including quarterly earnings announcements and investor presentations. Advise with respect to personal security trading matters, including the establishment of restricted trading lists and compliance with insider transaction reporting requirements under Section 16 of the Securities Exchange Act. Advise with respect to Proxy Statement disclosure issues and matters.
Qualification and Experience
The candidate should have a law degree, be admitted to practice in the US and obtain a New Jersey license or the New Jersey in-house counsel license within 18 months. Must have 7 years of relevant legal experience with substantial experience in public company disclosure matters. Demonstrated strong corporate and securities background is essential. Should have significant experience advising public companies in connection with public company disclosure issues. Must have a thorough knowledge of Form 10-K, Form I0-Q and Form 8-K reporting requirements, the proxy disclosure rules, Regulations S-K and S-X, and other SEC rules and regulations affecting the disclosure obligations of public companies. Should be accomplished in legal drafting, with substantial experience drafting SEC filings. Large law firm experience is a prerequisite, but in-house experience, including experience working with Controllers and Investor Relations departments, is a significant plus. A background in corporate governance is helpful. Experience with the insurance and financial services industries is highly desirable.
