Senior Legal Counsel Responsibilities: Draft periodic SEC reports; research and answer questions on general securities and corporate governance matters, including compliance with Nasdaq rules. Review quarterly earnings materials, including press releases and investor decks and review communications with investors. Oversee preparation of annual meeting of stockholders; draft company proxy statement, including executive compensation disclosure. Assist corporate secretary function, including drafting board and board committee materials; preparing annual corporate governance calendars; and preparing board meetings. Draft Section 16 filings and manage company blackout periods. Provide legal services to corporate G&A functions, including Finance, Treasury, Human Resources and Real Estate. Manage domestic and international subsidiaries. Assist in the drafting, review and interpretation of company-wide plans and policies, such as Bonus Plans, Code of Conduct and Insider Trading; conduct related training sessions. Provide legal services in connection with company equity plans; experience with IRS tax code sections 162(m) and/or 409A a plus. Manage M&A and corporate finance transactions, including drafting and negotiating term sheets; working with outside counsel to negotiate transaction documents, conduct due diligence, work with internal business partners to resolve problems and assist with integration of newly acquired companies.
Qualification and Experience
Requirements: 5+ years’ experience practicing with a large law firm and/or in-house. Experience in corporate law, including securities law, M&A and public company governance and compliance. Strong foundation in ongoing reporting requirements and corporate governance is a must. Experience in managing teams. Ability to work independently, providing high quality legal advice with little supervision. Ability to form strong working relationships with internal clients while maintaining firm adherence to legal and ethical standards. Strong work ethic, good organization skills, and experience managing multiple projects simultaneously. Superior interpersonal skills, dynamic and team-oriented. Flexibility and willingness to work on a broad variety of legal matters.
