Corporate Paralegal Duties: Under the principal direction of the Associate General Counsel, will assist in-house legal counsel in all stages of corporate transactions and with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities. Supporting both the Legal and Sales staff and their customers, relating to all aspects of the negotiation, drafting, execution and implementation of the appropriate document given the task at hand. Assist attorneys with legal research, building contract templates, document preparation and review and other assignments assigned by the supervising attorneys and General Counsel. Principal custodian of all corporate records and contract files and oversees filing, access and distribution of customer contracts as requested. The position requires performance of legal assignments with a high degree of autonomy and responsibility within the Legal department. Assist Associate General Counsel in management and maintenance of international entity database. Manage Annual Reports and Annual Filings. Draft Resolutions and related documents. Draft correspondence and interact directly with outside counsel. Maintain and organize entity database and manage all appropriate deadlines and filings. Maintain and improve upon best practices for organization. Assist attorneys to prepare integral corporate and human resources documents/materials. Analyze information and documents for missing data and complete missing items prior to attorney delivery. Redline and notate based on company SOP with outside vendor and agency agreements. Prepare legal documents that require an advanced legal knowledge of specific subject areas. Assist attorneys in the drafting of documentation for amendments, initial contract builds, MSAs, SOWs, correspondence, and maintain associated database. Assist attorneys in drafting of MCAs, SOWs, PCRs and Amendments in association with the Company’s global consulting and on-demand workforce. Assist attorneys with the completion of scheduling Legal calls, meetings, and in-house interviews. Draft various standard and non-standard agreements. Maintain filing system. Work directly with attorneys during closings and corporate transactions. Be well versed in legal terminology, laws, and judicial decisions, court jurisdictions and procedure. Provide attorneys with assistance in the preparation for and closing of various corporate transactions. Perform legal research and background information. Post and route legal information and material to the required parties, both internally and externally. Support for the Legal Team. Gather billing information from vendors to prepare requests for reimbursement. Filter incoming email requests to the Legal Team. Validate contracts as requested and route for RSI signature. Schedule travel and conferences and assist in administrative support for same, including litigation in various venues throughout the United States. Prepare contracts as well as oversee the contracts signed by company. Assign requests to attorneys as needed. Track attorney work-flow and clean up stale items in attorney’s queue of assigned tasks. Track and monitor the status of contracts and develop/ implement improvements to the contract management process as necessary. Interpret contract provisions critically. Help other departments in the company understand the details in the contracts. Provide contract summaries and ensure contract execution in accordance with company policy. Monitor and ensure contract compliance as requested. Requests amendments in the contracts after review as necessary. Route documents and help in successful completion of the agreements and closing the agreements.
Qualification and Experience
Qualifications: Paralegal Certificate from accredited institution or equivalent work experience. College graduate preferred. Previous experience as a corporate or transactional Paralegal in the corporate or law firm environment. 3-5 years of paralegal expertise. 3-5 years of contract review and approval experience. Ability to explain complex facts and conclusions simply, clearly and logically in written and verbal communications. Responsive to internal and external client needs. Sound knowledge of the legal matters and procedures. Strong organizational and planning skills and excellent attention to detail. Proficiency in a variety of computer software systems (Word, Excel, PowerPoint) is essential. Expert analytical skills along with attention to detail. Ability to function in a fast-paced and sometimes pressured environment. Ability to work harmoniously with legal team, internal clients and third parties. Ability to prioritize tasks to complete all tasks on time. Should be dedicated towards working in a team supportive environment. Able and willing to take direction from in-house counsel but also highly motivated self-starter, able to accomplish tasks, make decisions, and handle frequently encountered issues with minimal supervision. Desired: Experience with DocuSign, Adobe, Microsoft Word, Excel and PowerPoint required. Experience with Microsoft Teams a plus. Personable, team player with a friendly demeanor and great sense of humor. Proactive, organized, self-motivated and self-disciplined. Willing and able to work in a fast-paced, emerging technology company environment. 3-5 years’ experience as a Paralegal in a law firm or Corporate Environment.
