Corporate Paralegal The candidate will be responsible for providing business-focused legal support to our CEO, and the Operations and Development team, as well as collaboratively working with our franchise attorney and franchisees. Conducts research on legal matters as needed, as well as reviews, interprets and summarizes, and responds to legal matters and documents (i.e. contracts, agreements, licenses, etc.). Provide legal support for day to day franchise matters including purchase and sale agreements, restructures, early closures, defaults and terminations. Requests and collects documents for review as needed (i.e. contracts, Lease Agreements, Real Estate documents); reviews and ensures requirements are met for execution of new and renewed franchise agreements and other legal documents. Proofreads, drafts, processes, tracks, and follows-up on franchise agreements, correspondence, cancellation agreements, etc. Facilitates full execution of documents by franchisees and ensure executed originals are returned and filed appropriately. Reviews information, comments and questions received from franchisees and their counsel; acts as a liaison to franchisees and their counsel and answers their questions autonomously on matters such as contracts, agreements, etc. Reviews and prepares franchise disclosure documents and updates annually, as needed. Reviews and proofreads materials from other departments for legal considerations. Follows up on assignments; knows when to act and when to refer matters to designated attorneys; provides feedback as needed to other team members and executives. Provides historical reference by maintaining and utilizing filing and retrieval systems; recording meeting discussions; maintaining transcripts; documenting and maintaining meeting notes and minutes; Maintains up-to-date, accurate files. Effectively communicates and follows up with franchisees and other business partners. Undertakes special projects that apply as requested. Conducts domestic trademark research. Assists CEO with administrative duties as necessary. Performs other related duties as required. Must have 5+ years of paralegal experience. Paralegal Certificate or Degree in Paralegal Studies. Must have experience in franchising and the restaurant industry. Should have experience performing tasks found in the Essential Duties above.
