Senior Paralegal The candidate primary responsibility includes supporting attorneys, managing claims and litigation docket, providing litigation support including coordination with outside counsel and internal coordination of documents, data, and other support on litigation. Drafts and managing commercial contracts (under Attorney supervision) including clinical trial agreements, research agreements, employment agreements, co-manufacturing agreements, service agreements, license agreements, software agreements, physician consulting agreements and construction agreements. Manages outside counsel on a variety of litigation matters including, government contracting and guides interactions with state and federal agencies including the FDA, FTC and USDA. Handling consumer claims, managing litigation docket and related considerations, and assisting in preparation of settlements. Under attorney supervision, will review confidentiality and other related agreements. Draft documents and correspond with lawyers and outside counsel and others on legal matters. Assist and review in contract drafting and preparation. Monitor corporate citizenship compliance and maintain corporate governance data including shareholder meeting minutes, tracking and preparing legal information and organization of corporate files. Support Corporate compliance function as needed. Assisting General Counsel with Board of Directors Meeting planning, and preparation of Board Minutes. Preparing and maintaining regulatory filings and corporate resolutions. Generating certain contracts and managing Contracting Process. Performing basic legal research. Bachelors Degree and Paralegal Certificate from ABA-approved program preferred. Should have 4+ years of experience in a corporate setting. Must have In-house corporate paralegal experience. Should have experience in pharmaceutical, medical device or other healthcare-related fields, including knowledge of contracting issues specific to the healthcare industry. Must have FDA and/or FTC regulatory experience. Litigation / claims experience required. Must have expertise in Microsoft Office applications.
