Corporate Counsel
Duties: Reporting to the VP of Legal, will primarily be responsible for negotiating and drafting commercial contracts in support of EMEA and American business, and for leading global privacy program. You will also handle other day to day legal issues facing the company, in such areas as employment, litigation, intellectual property, and corporate law. Will help design and implement policies and processes to build and scale the legal and privacy functions of a fast- moving cloud startup. Serve as a point of contact for other departments, including People, Marketing, Finance and Product teams. Share responsibility for supporting sales activities throughout the United States and Europe (using outside counsel as needed) and shared responsibility for supporting other regions. Lead the company’s privacy program, including drafting and enhancing policy and process documentation, building and monitoring compliance processes, acting as an expert resource on privacy matters, and interacting with key internal and external stakeholders on privacy issues. Contribute to and iterate on contract playbook of fallback terms. Stay up-to-date on relevant industry, commercial, open source, IP, privacy, employment, and other laws, regulations, and developments to be able to give the most effective advice. Be collaborating closely with others in Legal to provide holistic advice to internal business clients and driving cross-functional resolution of issues. Be the go-to resource for senior leadership and other organization members regarding areas of legal and business strategy. Provide strategic and legal advice to your internal business clients. Review, draft, and negotiate a wide variety of commercial agreements, including cloud services, partnership, professional services, consulting, marketing and vendor agreements. Lead negotiations on deals and partnerships of strategic importance. Take a leadership role with the commercial team and drive special commercial and company-wide projects. Be deeply involved if/when any strategic legal discussions arise, including marketing and distribution partnerships, fundraising, M&A, and more. Have completed three strategic initiatives to improve legal systems and processes.

Qualification and Experience

Qualifications: Bar admission and in good standing in at least one state. A self starter and able to review, draft, and negotiate a wide variety of commercial agreements (e.g., strategic alliance, SaaS, IP licensing, software licensing, product resale and distribution, working with contractors, outsourcing, facilities, etc.). A history of negotiating data processing agreements, including a working knowledge of GDPR as it relates to commercial contracts. Substantial understanding of intellectual property, licensing, privacy, data security, and commercial laws (or a strong willingness to learn). Attention to detail and ability to draft documents, policies, emails and anything else in a very precise manner, while still being concise and digestible for non-lawyers. High integrity and excellent judgment, supported by a point of view that is thought out and communicated well. Eager to chip in wherever and whenever help is needed in fast moving environment. Have a much deeper understanding of the platform and what each team within the company does. Have a good grasp of standard agreements and sales process. Have helped build Global Privacy Program.
