Mid level Associate Legal Counsel The candidate will report to firm’s General Counsel and will work with firm’s business teams to execute project acquisitions and financings. Project Counsel will also be expected to provide general legal support across various aspects of project development, ownership and operation. Performing project due diligence. Structure, draft and negotiate purchase and sale agreements and related acquisition documents. Coordinating the closing of project acquisitions. Reviewing project documents, with an emphasis on real property and power purchase agreements. Working with local counsel on permitting, real estate (including title issues) and related project specific matters. Working with outside counsel to structure, draft and negotiate project debt and tax equity documentation. Reviewing and drafting EPC, Purchase Orders, Continuing Services Agreements and related construction agreements. Providing general legal support to firm’s execution, financing and construction teams. Other responsibilities as required. Must have Juris Doctorate degree from a top 50 US law school. Licensed to practice law in the US is essential. Must have 3-5 years’ experience at top-tier law firm. Should have broad-based corporate transaction experience with an emphasis on M&A and project financing. Particular experience with transactions in the solar market is preferred.
