Legal Counsel Responsibilities: Serves as primary in-house counsel for the company as well as supporting the organization’s various physician and business entities. Provides guidance and oversight for compliance with corporate practice of medicine, applicable federal and state laws and other fraud and abuse laws, EMTALA, HIPAA, cyber security and any other applicable regulatory requirements. Drafting, reviewing, and negotiating contracts, from scratch or template, as appropriate. Main point of contact with attorneys representing customers, vendors and service providers. Serves as the organization’s subject matter expert and key resource for analyzing and providing counsel and guidance to assure all arrangements comply with applicable laws and regulations. Partners with operations leaders in support of strategic objectives regarding legal matters encompassing a complex array of business entities including but not limited to hospitals, outpatient clinics, physician organizations, joint ventures, and other entities. Responsible for providing advice and guidance for the development the organization’s policies. Serves as legal advisor to various committees, task forces or project teams as requested. Identifies and analyzes the impact to the organization of changes in the law and guiding the organization’s actions in support of such legal changes and in furtherance of the organization’s values and business objectives. Exercises independent judgment in identifying legal assignments which require specialized legal services and refers such assignments to the appropriate outside attorney, coordinating and supervising such outsourced services and assuring the successful interface between outside counsel and internal personnel necessary for a successful quality and cost-efficient outcome. Performs legal research and prepares legal memorandum. Designs and delivers training as needed for management. Works collaboratively with Finance, Human Resources, Clinical Operations, IT, Business Development/M&A and other key functional areas to align efforts, improve decisionmaking, reduce risks and improve quality outcomes. Assists in preparation of Board reports and with other duties as assigned. Maintaining the Company’s privacy policies and procedures regarding the management of protected health information (PHI). Providing strategic guidance to the Company related to the management and protection of protected health information (PHI). Implement, document, and maintain a coordinated legislative and regulatory compliance program that meets the expectations of State and Federal regulators and corporate Government Programs. Overseeing and monitoring the implementation of the Compliance and Privacy Programs.
Qualification and Experience
Requirements: JD degree from an accredited law school required. Licensed in Ohio preferred. 3+ years’ experience in a corporate law department or equivalent in-house legal role, or law firm experience, with deep healthcare experience preferred. Experience with transactions involving physicians and health systems. Experience with software subscription agreements is a plus. Extensive experience with all aspects of fraud and abuse laws including Stark Law, AntiKickback Statute, False Claims Act and other legal and regulatory compliance issues implicated in relationships between physicians and other health care providers. Ability to work collaboratively to achieve established goals and exercise independent judgment with minimal supervision or oversight Strong interpersonal, analytical, organizational, and communication skills.
