Corporate Attorney
The candidate will provide legal advice to executives on a variety of legal topics impacting the company. Draft, review, negotiate and interpret a wide range of commercial agreements in support of various company department, including confidentiality agreements, vendor/supplier contracts, consulting agreements, master service agreements, manufacturing agreements, and licensing agreements. Assist with developing and managing corporate governance issues. Provide advice and counsel to business teams on creative solutions to complex problems. Respond promptly to internal department requests, summarizing and communicating legal risks while allowing a balance of risk that conforms to the company’s business objectives. Collaborate with legal team on creating and implementing internal governance policies and regularly monitor compliance. Research and evaluate different risk factors regarding business decisions and operations. Deal with complex matters with multiple stakeholders and forces. Provide clarification on legal language or specifications to everyone in the organization. Assist with the development of policies and training employees as necessary.

Qualification and Experience

The candidate must have 3+ years of experience in corporate/transactional legal practice with a larger law firm and/or in-house experience. Knowledge and understanding of corporate law and procedures, as well as industry trends and new laws that will impact the company is needed. Background or interest in emerging companies, technology or in tangible goods and manufacturing companies (automotive, consumer electronics, medical devices, etc.) is necessary. Experience in managing intellectual property portfolios and drafting and negotiating a variety of intellectual property and related commercial transaction agreements a plus. Experience in mergers and acquisitions, due diligence and related work is desired. Law degree (J.D.) from ABA accredited institution is critical. Licensed to practice law in California is mandatory.
