Assistant General Counsel
Duties: Responsible for providing attorney support in the preparation, negotiation and management of matters related to commercial loan documentation and closings. Prepares and negotiates loan documents for commercial loans with minimal supervision. Provides analysis, legal opinions and recommendations with respect to commercial loan and lease originations and all aspects of the documentation and closing process with a focus on asset-based lending, equipment lease financing and the Uniform Commercial Code. Identifies closing issues and drafts loan covenants to protect the Bank from legal risks prior to closing and funding commercial loans and leases. Utilizes Bank’s procedures and systems to prepare and review loan documents for all types of commercial loans within the middle market lease sector to ensure Bank’s collateral and lien position and all funding requirements have been met. Coordinates with customer or their representative (or outside counsel, if applicable) to obtain bank required due diligence items. Reviews organizational documents, trust agreements, insurance, equipment lease documents, loan presentations and commitments letters to ensure proper preparation of loan documents and adherence to loan approval conditions. Provides analysis and legal counsel on commercial loan and lease documentation issues that develop throughout the closing process and independently develops practical resolutions for them, including negotiation of loan documents with borrowers and/or their representatives/attorneys. Coordinates/schedules closings to ensure loans close properly and are processed timely. Drafts and negotiates commitment letters, conditional approval letters and other correspondence on behalf of the Bank as required. Reviews executed documents after closing to ensure accuracy. Resolves any issues found in a timely manner. Confirms perfection of Bank’s lien on collateral prior to closing. Coordinates with the Credit Analyst, Commercial Banker, and Loan Servicing throughout closing process to insure all loan approval conditions precedent to closing have been cleared and loan is properly boarded on the Bank’s systems. Completes post-closing file and delivers completed file to Loan Servicing Department. Interacts with other departments and associates to develop a team approach to projects, resolve issues, or investigate new developments that arise on a day-to-day basis. Orders, reviews and analyzes UCC, tax, judgment, bankruptcy and real estate searches, payoff letters, and surveys as requested or required to identify potential legal issues and and recommend company position. Accurately issues checks or initiates wires for closings. Represents the Bank in a professional manner at all times when dealing with customers’ inquiries and/or their legal representatives and relevant third parties such as title companies. Develops a strong knowledge of core legal documentation for each product offered by the Bank and how each type of Borrower affects the relative documents. Completes special projects and additional responsibilities as required and assigned by Management.

Qualification and Experience

Qualifications: Bachelor’s Degree and Juris Doctor Degree from an accredited law school. Membership in the State Bar as an attorney qualified to practice law. 1-2 years of experience in related counsel position preferred, including specific experience with commercial real estate law; or, 0-1 years of asset-based lending and/or equipment lease financing preferred. Knowledge of federal, state and local laws. Strong interpersonal and communication skills and ability to work cooperatively with other team members. Must have the ability to manage multiple transactions with the increasing need for process-driven solutions to most effectively support the Bank’s commercial lending divisions. Excellent organizational skills and acute attention to detail with the ability to manage multiple projects is a must. Experience in LaserPro preferred.
