Senior Corporate Paralegal The candidate will be responsible for: Managing SEC Section 16 matters, including coordinating pre-approval process and related information flow, liaising with equity compensation service providers, financial planning professionals and internal compensation department, preparing and filing Forms 3, 4, 5 and other applicable SEC reports, and maintaining beneficial ownership database. Participating in proxy statement drafting processes, including updating annual directors & officers questionnaires and beneficial ownership table. Supporting general corporate matters, including capital market and corporate finance activities, such as coordinating and assembling materials for underwriters’ due diligence in connection with corporate bond issuances. Assisting Finance team and working with Transfer Agent, as applicable, in connection with unclaimed property escheatment audits. Providing support working on acquisitions, divestitures, and integration of acquisitions including due diligence, contract review, preparing disclosure schedules and closing documents. Providing work direction and guidance, as appropriate, to assigned support personnel, or vendors on specified projects that may originate at the direction of an attorney. Must have a Paralegal Certification from an ABA approved program. Should have a Bachelor’s degree or higher (completed and verified prior to start) from an accredited institution. Must have 2 years of corporate paralegal experience. Should preferably have 5+ years of corporate paralegal experience in securities and M&A. Project management experience desired. Experience with e-Collaboration tools helpful.
