Managing Counsel - Corporate The candidate will lead counsel responsible for providing specialized legal support and counsel to the Finance, Treasury, Tax, Information Technology and International Trade functions on corporate and general business issues. Lead counsel responsible for drafting, reviewing, negotiating and providing specialized legal support and counsel on commercial, corporate and information technology/data security agreements, working closely with the Procurement function and other internal stakeholders. Assist with corporate mergers, acquisitions and dispositions, including drafting and reviewing transaction documents (confidentiality agreements, letters of intent and principal transaction documents); assisting with due diligence in connection with transactions/potential transactions; and providing advice on transactional issues. Assist with procurement, corporate secretarial and related corporate governance matters. Assist with management of firmâ€™s ethics and compliance function, including monitoring of investigations, program awareness initiatives, risk-based training and program governance. Monitor developments in corporate and other relevant legal areas to ensure companies are following best practices and complying with applicable legal requirements. Continue legal education through seminars, CLE and ongoing reading of legal periodicals. Support and assist Vice President, Head of Ethics and Compliance, Assistant General Counsel and Secretary, as requested, in connection with the performance of his duties and responsibilities and in completion of other legal services as assigned. Law degree with record showing strong academic achievement required. Must be licensed to practice in one or more jurisdictions. Knowledge of corporate and commercial law required, and experience in mergers and acquisitions desired. Large law firm experience of 7+ years preferred.
