Associate General Counsel RESPONSIBILITIES: Under the direct supervision of the General Counsel or designee, will be responsible for assisting the Legal Department in drafting and reviewing documentation and assisting in providing legal advice and counsel on corporate and healthcare matters and various special projects. Provide day to day operational legal support. Mandatory reporting obligations. Provide compliance and healthcare regulatory advice with respect to applicable federal stat rules and regulations including fraud and abuse, HIPAA, Stark, Anti-Kickback and False claims. Assist General Counsel in providing legal advice and business counsel to functional areas across the organization such as Finance, HR, Marketing, and Operations to resolve potential risk exposure. Assist in internal investigations, fact gathering, and other functions related to internal investigation. Understand and assist with real estate documents and other real-estate related matters. Draft, review and negotiate customer, vendor and other including professional and master services agreements, BAAs, NDAs, management agreements, physician employment agreements, operating agreements and clinical trial and other research-related agreements. Deliver expert legal counsel on M&A transactional matters. Monitor changes in applicable laws that apply to DMG and its affiliates. Manage Shareholder documentation process. Drafts and compiles all shareholder documents. Submits the accredited investor form to IRS. Tracks and ensures all documentation is returned. Updates new agreements as needed based on organization’s bi-annual valuation.
Qualification and Experience
Qualifications: JD Degree from an ABA accredited college of law required. Must have at least one state bar, preferably Illinois. 8-10 years of legal experience. Type of Experience: Legal research and writing on healthcare law matters. Contract Review and work on litigation/investigations and regulatory matters. Excellent business judgment, attention to detail, initiative, and ability to work both independently/autonomously and as part of a team. Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Ability to establish and maintain strong relationships within the organization’s legal department and across all business units. Ability to generate ideas and solutions cross functionally within the organization. Work effectively with team members to accomplish objectives and goals. Ability to devise creative practical solutions to difficult legal/business issues. Strong analytical capability combined with superior strategic thinking.
