Paralegal The candidate will work in the firm's Funds practice and report to the Office Administrator and the firm's Paralegal Manager. Perform all assignments in strict compliance with ethical guidelines governing the practice of law. Demonstrate good teamwork skills within and among practice groups, offices and firm to facilitate efficient delivery of legal services. Docket and take appropriate action to monitor and meet deadlines. Assist with closings, closing checklists, and the preparation, distribution and tracking of closing documents. Provide direct support to clients and use discretion to handle matters involving an attorney. Maintain positive relationships with firm attorneys, co-counsel, clients and vendors. Participate in the training and professional development of other paralegals in routine practice elements. Track and record client-billable time as required meeting minimum billable hour requirements. Prepare and draft various corporate documents for entity formation and maintenance of funds. Obtain good standing certificates and certified charter documents. Prepare initial operating or partnership agreements, basic interest transfer documents, maintain final versions of all private fund documents in database. Draft prospectuses, statements of additional information, supplements and agreements required for mutual funds under the Securities Act of 1933 and the Investment Company Act of 1940. Coordinate, oversee and facilitate the filing process, including the electronic filing of documents with the US Securities and Exchange Commission. Support SEC investigation work, including Bates stamping and compilation of supporting documents. Support board meetings and governance, including preparing agendas and resolutions and drafting minutes. Assist with various marketing functions. Receive and follow complex instructions.
Qualification and Experience
The candidate should have graduated from a four-year college or university with a Bachelor's degree. Should preferably have 10+ years of experience with corporate transactions; law firm experience; or any combination of training, education, and experience that demonstrates the ability to perform the duties of the position. Experience with reporting requirements under blue sky securities laws is desired. Experience with High Q is preferred but training will be provided. Strong client relations skills are essential. Should be proficient in Word, Excel, and Outlook.
