Associate General Counsel - Assistant Corporate Secretary The candidate will provides oversight and corporate governance support for a large portfolio of legal entities, including the preparation and review of organizational documents, resolutions and consents. Will assists with the department’s legal entity maintenance responsibilities and supports optimization projects. Liaise with directors and management in the agenda planning process, interact with presenters to solicit, review and provide comments on meeting materials, prepare draft resolutions and meeting materials, assemble and distribute meeting materials, attend Board and Committee meetings and prepare minutes. Ensure compliance with and fulfillment of board governance principles, committee charters and legal matrices; Facilitate periodic reviews and updates of governance documents. Supports the organization and execution of shareholder meetings, and preparation of proxy materials. Oversees and ensures conformance with all regulatory compliance requirements, including the preparation and review of annual and periodic regulatory filings.

Qualification and Experience

The candidate should preferably have University (Degree). Must have 5 years’ of Corporate Secretary experience within Financial Services. JD Required. Must have Licensed to practice law in a state or territory of the U.S. or eligibility to register as in-house counsel. 5 years corporate secretarial experience, preferably with both domestic and non-U.S entities is preferred. 4 years subsidiary management experience is desired. 3 years’ experience working directly with boards of directors is a plus. Insurance experience preferred. Managerial experience preferred. Knowledge of NYSE and Sarbanes-Oxley Independence and Governance requirements, a plus.
