M&A Attorney
The candidate will provide legal support for M&A matters. Work on a wide variety of mergers and acquisition transactions, with responsibility for progressing key legal workstreams, including liaising with key internal and external stakeholders. Handle front-line management of deals, including drafting, reviewing, and negotiating the key transactional documents, performing legal due diligence, managing outside counsel, facilitating closings and requisite filings and disclosures, managing projects to a budget, and leading post-closing integration. Work closely with members of Legal, Operations, Human Resources, and Finance teams. Assist with mergers and acquisitions and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration. Under general supervision, carry out broad and complex assignments involving coordination with multiple functional areas within the company. Assist in reviewing and negotiating a wide range of legal documents. Draft and assist with the preparation of M&A related board and committee meeting materials. Close communication and assistance with both outside and in-house legal counsel as well as with the Executive management team. Collaborate cross-functionally with the company’s sales, operations, engineering, information technology, human resources, marketing, and finance groups to understand and ensure consistency of agreement terms with the company’s business, financial, and risk management objectives. Conduct various additional other legal and ad hoc projects as required. Provide support as a general resource for various business units. Other duties may be assigned.
