Associate Counsel IV The candidate will support all aspects of the work performed by the Legal Department, with a primary focus on technology-oriented transactions and intellectual property protection. Review, draft and negotiate a broad range of technology, intellectual property, vendor, partner and related agreements. Counsel Operations team and Chief Technology Officer (CTO) teams on all manner of technology-oriented matters. Engage with CTO teams and outside counsel regarding intellectual property protection. Assist in developing and delivering training concerning legal, compliance and risk matters. Conduct due diligence reviews in the context of M&A or other transactions. Manage outside counsel as necessary. Support other requirements within the Legal Department. Travel to other Locations or Customer Sites as necessary. Understand and adhere to all Ethical and Compliance policies. Proactively ensure a safe work environment and adhere to EH&S policies and procedures. Perform other duties as required. Must have Law Degree from an American Bar Association accredited law school and 6+ years of experience utilizing skills and knowledge to perform the duties and responsibilities described above. Should have Current Virginia state bar membership, or ability to qualify as Virginia Corporate Counsel. Must have good oral and written communication skills. Must be comfortable handling and managing complex projects with limited oversight. Should preferably have experience/familiarity with communications (RF and photonics) technologies and cybersecurity matters. Experience/familiarity with export compliance is a plus. Experience/familiarity with U.S. Federal Government contracting or security issues is needed.
