American Health Information Management Association (AHIMA) has an excellent opportunity for a Corporate Attorney.

 

 

Position Purpose

 

The Corporate Attorney will provide legal guidance to all aspects of the Association’s ongoing business and legal matters, domestic and international.  Will advise internal clients on legal and business issues and the implications of alternative positions to enable informed business decisions.  Interprets, negotiates and drafts complex contracts and related documents to support internal business partners.  Provide advice to stakeholders regarding changes in the law, contract or other legal issues that may involve the company’s short or long-term strategic operations.

 

 

Job Responsibilities

 

Business Partner:

 

·         Interprets, negotiates, and draft complex contracts and related documents in support of AHIMA’s products and services – both as customer and buyer.

·         Demonstrated ability to integrate and work well with legal, product management, marketing, sales management, IT and other internal business partners.

·         Assists in the development and maintenance of legal resources that are required for our products and services, such as terms of use, privacy policies, and other similar policies and disclosures.

·         Works cooperatively to provide quality service to clients. Engages with clients to work out any differences in a productive and timely manner.

·         Services to be provided include legal research, drafting documents, Video/Skype and phone negotiations,

·         Creates new templates and updates existing templates when needed.   Drafts, reviews, and redlines a wide variety of contracts using existing templates, when available and balancing risk with business needs within agreed timelines.

·         Provides timely responses to in-house clients, estimating timeframe for completion of projects. Tracks progress of projects and maintains communications with clients.

·         Escalate to Senior inhouse counsel as appropriate.

Compliance, Corporate & Governance Support

·         Draft documents such as amendments to bylaws, affiliation agreements, ethics guidelines, and participation agreements.

·         Ensures compliance with U.S. and international laws and regulations dealing with user privacy, intellectual property, consumer protection, publishing and advertising.

·         Contributes to the development of projects such as the record retention plan, compliance programs, such as ADA compliance, and providing templates and legal resources for internal use.

·         Assists with a variety of other Association legal matters as needed

·         Training

·         Provides training programs to AHIMA staff, Board, Foundation, Component State Association and other entities on topics such as conflicts of interest, financial best practices, copyrights and trademarks, recusals, antitrust, lobbying, etc. in writing, in person, through online sessions or conference calls.

 

Position Requirements

 

EDUCATION AND EXPERIENCE

  • Juris Doctorate (JD) degree from an ABA-accredited law school
  • Active license to practice law in Illinois.
  • 6 to 10+ years of experience, with at least 3 years as an in-house attorney, preferably in a healthcare, consumer or content licensing business.   
  • Experience in a highly regulated environment preferred
  • Knowledge of issues relating to various areas of the law, including intellectual property licensing, technology, data privacy, GDPR, commerce, antitrust, litigation, contracts, insurance, and regulatory compliance.
  • Experience using contract management systems, using and developing templates.
  • The ability to build and foster effective working relationships with peers, managers and executives across the association
  • Ability to respond promptly to a wide range of legal requests, summarizing and communicating concepts that business partners can apply
  • Excellent business contract drafting and negotiation skills; works to get a reasonable business deal accomplished in a timely fashion.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Teams) and use of contract management software and/or CRM
  • Ability to communicate clearly, concisely and professionally with all levels of staff and management regarding legal issues.
  • Process and quality improvement mindset
