Senior Paralegal The candidate will maintain all group entities in good standing (e.g., filing of annual reports). Will maintain records of legal entities and corporate filings. Maintain corporate entity minutes. Prepare filings and various documentation, including in support of public company filing obligations (e.g. SEC and NYSE) and financial activities. Drive continuous process optimization of all corporate and administrative functions. Maintain minutes, attendance records, and exhibits. Attend and prepare minutes for select Committee meetings. Prepare resolutions, unanimous written consents, D&O questionnaires, and other documents. Liaise with outside firms and providers to make necessary filings and submissions in support of global expansion activities. Ensure compliance with ongoing documentary requirements for foreign entities and activities. Administer trading compliance policy, including handling of pre-clearance requests. Prepare and file Section 16 forms for officers and directors. Prepare agreements for director and executive equity awards. Maintain records of 10b5-1 trading plans. Maintain director and officer beneficial ownership schedule.
Qualification and Experience
The candidate should have a college degree. Paralegal certificate is desired. Must have 5+ years of experience at a corporate law firm or publicly-traded US corporation's in-house legal department handling a diverse set of corporate legal responsibilities. Desire to own and drive process improvements in corporate function is required. Experience supporting and maintaining records of Board activities is needed. Strong understanding of fundamental filing and compliance requirements of a publicly-traded US corporation is essential. Should have desire and willingness to expand scope of responsibilities and expertise, based on business needs. In-house legal department experience at a corporation with a significant global footprint; and experience supporting global expansion efforts desired. Demonstrated experience and success with use and implementation of technological tools to optimize corporate legal processes is an asset. Familiarity with Google Suite (Google Docs, Google Sheets) is a plus.
