A leading law firm is seeking a Corporate Attorney to join its Business Practice Group. This role involves working on a variety of business transactions, including mergers and acquisitions, securities law, and venture capital financing. The ideal candidate has 3-6 years of transactional experience and a strong background in corporate law, providing the opportunity to work closely with clients and serve as outside general counsel on various business matters.

Duties

  • Represent clients in corporate matters, including drafting and negotiating purchase agreements, investment transactions, and governance documents.
  • Advise clients on securities law compliance and regulatory matters.
  • Manage both buy-side and sell-side mergers, acquisitions, and dispositions.
  • Work with a team of specialists across different practice areas to provide comprehensive legal counsel.
  • Develop and maintain strong client relationships by delivering high-quality work and responsive communication.
  • Stay informed on the latest developments in corporate law to offer cutting-edge advice to clients.

Requirements

  • 3-6 years of experience as a transactional attorney, with a focus on mergers and acquisitions, securities, and corporate governance.
  • Proven ability to manage multiple tasks and complete them within tight deadlines.
  • Strong interpersonal and communication skills, with a commitment to client service.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

  • Active bar membership in Michigan, Illinois, California, or Texas, or eligibility to practice remotely with appropriate licensure.

Skills

  • In-depth knowledge of corporate and business transaction processes, particularly in M&A and securities law.
  • Ability to work effectively in a team and provide guidance to junior associates.
  • Excellent organizational skills and attention to detail.
  • Proficiency in drafting complex legal documents and analyzing regulatory requirements.
