ProfileLegal Contracts Administrator The candidate provides paralegal support for the attorneys in the Legal Department. Responsibilities include but are not limited to: preparing legal documents for review by attorneys; reviewing and revising purchase orders, services agreements, asd well as indeminification and release agreements; tracking material legal proceedings; communicating with clients regarding legal documents and delivery of legal services; organizing complex legal material with accuracy and speed; and the handling of strictly confidential information. Position regularly involves discretionary tasks which requires general knowledge of the company and departmental procedures. Essential Functions: Provide high quality paralegal support to the legal department attorneys; Perform legal research (compiling data from references such as statutes, rules and regulations, on-line sources, digests, practice manuals and other sources); Draft legal and business communications, contracts (including adapting contract language from form leases, licenses, purchase and sale agreements, and indemnity and release agreements to a client’s specific needs), and documents for maintaining legal entities to be reviewed by attorneys; Organize and maintain legal documents, especially litigation and transactional documents (e.g., both due diligence and closing documents), quickly and accurately. Handle document production in connection with legal proceedings, as needed; Assist in organizing due diligence with respect to the purchase or sale of businesses and properties, identifying the tasks to be performed by the various due diligence team members and undertaking research on important conditions and contingencies to the consummation of the transaction, such as the term and termination provisions of contracts, assignment of contracts, and existence of contractual disputes; Assist in the implementation of company legal policies to include coordinating necessary training; Undertake special assignments at the direction of Legal Department attorneys; Review and edit documents such as internal communications and newsletters, as requested; Maintain multiple department spreadsheets and databases using various software packages; Prepare meeting agendas and materials; and Other duties as assigned.
Qualification and Experience
The candidate should have High School diploma. Associates or Bachelor’s degree is preferred. Must have 5+ years paralegal experience and a California paralegal certification (additional paralegal certification in Arizona is preferred), or 10 years of paralegal experience in support of attorneys in either a law firm or corporate setting. Must possess advanced Microsoft Office Suite, Google, Oracle Business Environment and other software packages relevant to the position; basic office equipment. Ability to learn software programs as required for the position. Should have excellent client interview skills. Strong command of language and grammar is essential to this position. Requires knowledge of document formats of a legal nature such as contracts, briefs, and closing documents. Must understand technical legal terminology. Must exhibit outstanding communication skills, with the ability to communicate effectively with personnel at all levels internally and externally. Among other attributes, position specifically requires initiative, perseverance, ability to work on a team, ability to work quickly and under the pressure of multiple deadlines and the ability to manage conflicting priorities. Must demonstrate the ability to develop a strong knowledge of the Company, its operating divisions, subsidiaries and procedures and keep abreast of changes in Legal Department procedures.
