Paralegal - Corporate Duties: The candidate will be taking on the role of a quasi-department manager, keeping attorneys' work moving efficiently, responding to client, agency, and firm inquiries, and assisting in the development of department protocol. Drafting formation and corporate documents and workflow management. Creating and distributing annual reports. Filing and obtaining employer and tax identification numbers. Researching and analyzing legal sources such as statutes, case law, legal articles, and regulatory sources. Communicating regularly with attorneys and clients regarding the status of projects and deadlines, and informs attorneys of any issues. Maintaining and updating corporate records. General correspondence and maintaining calendars as needed. General administrative duties as required and other duties as reasonably required in pursuit of Firm and client interests.
Qualification and Experience
Qualifications: The candidate should preferably have a Bachelor's degree and paralegal certification. Must have 5 years of experience in corporate/transactional law and recordkeeping to include entity formation, annual reporting, operating agreements, partnership agreements, corporate structuring, sales, mergers, and acquisitions. A thorough understanding of general corporate housekeeping matters including creating and maintaining corporate documents, corporate filings, entity formation, entity dissolution, entity DBAs, and obtaining EINs. Excellent oral and written communication skills. Should have a high degree of organization. Must possess drive, energy, and high professional standards. Should be capable of working independently and have the ability to manage multiple projects simultaneously. Must be independently proficient with current MS Office Suite, case management systems, and document repositories. The ability to perform the essential duties of the position within time constraints, with or without interruptions.
