Profile

Senior Counsel Responsibilities: Provide legal support to business units (contracting, vendor/customer disputes). Support Chief Legal Officer on all corporate matters. Prepare, review and negotiate various contracts involving, licenses, technology development, and leases, among others. Provide consultation and legal advice with respect to strategic initiatives, technology projects, intellectual property, dispute resolution, corporate policies and procedures, and administration in potentially sensitive and highly complex matters. Manage outside counsel on litigation and patent matters. Seek collection on unpaid or unperformed contracts. Prepare forms of contracts, terms and conditions, and other legal documentation. Recommend practical courses of action to achieve client goals within the scope of what is legally permissible. Perform comprehensive research and analysis of reported cases, state and federal statutes, regulations, and other legal materials. Maintain current knowledge of legal issues and developments in the law. Assist with other responsibilities as needed.

Qualification and Experience

Qualifications: JD Degree from an accredited law school with excellent academic credentials and law school class rank in at least the top 25%. 5+ years of experience as an attorney with a top-tier law firm or corporation dealing with corporate, commercial contracts, complex M&A, and other business transactions. Knowledge of agriculture, commodity and/or energy industries is preferred. Possess an active, current law license. Demonstrated ability to conduct research and analysis of legal issues. Proven analytical, and written and verbal communication skills. Ability to comfortably work in an intensely deadline-oriented environment. Speed and accuracy are essential requirements for this position. Strong multitasking skills to be able to move and track multiple projects to completion. A passion for in-house practice. A desire to work closely with our business teams on contracting, business concerns, collections for business units, and other commercial issues. Energy, resourcefulness, and a demonstrated desire to achieve results. Must be able to demonstrate proficiency in all MS Office applications. Experience with contract, UCC and corporate law preferred. Experience in mergers & acquisitions law preferred. Experience with real estate law preferred. Experience with intellectual property preferred.
