The candidate will provide duties include: Provide legal support to in-house Legal Department. Assist with legal department operational matters including invoice management; work closely with outside counsel billing departments. Review documents for compliance with statutes, court decisions, and other legal authorities. Organizes documents required in connection with regulatory or legal proceedings. Perform legal research using provided resources; conduct fact gathering interviews and documents research. Issue and maintain litigation holds and assist with the gathering of information in response to discovery requests and similar inquiries. File annual reports and monitor state requirements for company and subsidiaries. Assist General Counsel in preparing closing documents and handling other matters in connection with M&A transactions. Assist in maintaining corporate records. Assist in preparing agendas, resolutions, minutes, consents, certifications, and other corporate governance documents. Assist with securities-related filings, including Forms 8-K, 10-Q, 10-K, proxy statements, and Section 13 and 16 filings. Assist in coordinating all aspects of Board of Directors and annual shareholder meetings, including meeting agendas and distribution of materials as well as logistical and administrative arrangements. Assist in designing and administering corporate policies and procedures as requested. Assist with various compliance matters. Drafting legal correspondence. Assist in developing databases, presentations, spreadsheets, and other online applications related to the work of the legal department. Work with members of the Executive Team and Senior Leadership Team in providing information and materials related to matters referenced above. Meet deadlines under tight time frames with multiple ongoing projects. Work cross-functionally across the company as a liaison for the legal team.

Qualification and Experience

The candidate must have an associate’s or bachelor’s degree from an accredited university / college is required, or a certificate from a paralegal certification program. Must have 3+ years of experience in a paralegal role or executive administrative assistant role is preferred. Must have ability to read, analyzes, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Must have ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public. Must be able to communicate effectively, including: Communicating orally and in writing in a clear and concise manner; and Communicating effectively with internal and external colleagues with a variety of personalities and viewpoints. Must have ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Must have ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.
