Associate General Counsel – Executive Compensation Overview: Western Digital is seeking an experienced and highly skilled Associate General Counsel to join our Legal team. As a key member of our team, you will be responsible for providing legal advice and guidance on a broad range of executive compensation matters. This is a full-time exempt position based at our Irvine office, with a competitive salary range of $171,,. Job Description: As an Associate General Counsel, you will be responsible for providing legal advice and guidance on a variety of executive compensation matters. Your key responsibilities will include advising on compensation program design and structure, providing legal advice to the People Solutions team and Compensation and Talent Committee, and preparing proxy statements and other compensation-related disclosures. You will also advise on corporate governance matters, assist with preparation of Board of Directors and Compensation and Talent Committee meeting materials, and provide legal and tax advice related to stock-based compensation programs. In addition, you will maintain policies and procedures related to executive compensation and benefits programs and advise on compensation matters related to corporate and strategic transactions. You will work closely with other functional groups such as Global Stock Administration, People Solutions, Tax, Finance, and Corporate Development, and will be responsible for managing outside counsel. Qualifications: To be successful in this role, you must have a . degree from an accredited law school and be a current member of the California bar association in good standing. You should also have at least 10 years of experience practicing at a national law firm or as an in-house attorney. Strong executive compensation experience, familiarity with stock-based compensation programs, and understanding of SEC and tax rules and requirements are also essential for this role. You should have excellent legal drafting skills, strong communication and interpersonal skills, and the ability to exercise independent judgment and manage multiple projects simultaneously. Compensation & Benefits Details: The salary range for this position is $171,,, and the final salary will be based on factors such as education, qualifications, skills, performance, geographic location, and internal and external equity. You will also be eligible to participate in our Short-Term Incentive (STI) Plan and may be eligible for our annual Long-Term Incentive (LTI) program, which consists of restricted stock units (RSUs) or cash equivalents.
