Contracts Analyst
The candidate will be responsible for contract review and information assembly, checking contracts for suitability and compliance, managing client documentation requests, and sequencing the edit and approval processes for new and renewing documents. Will coordinate communication with the Legal Support Supervisor, Account Managers, Enterprise Sales Operations staff and other resources regarding details of customer contracts; i.e. obtaining required information, identifying procedural deviations and ensuring all procedural review steps are complete. Responsible for contract review and information assembly, checking contracts for suitability and compliance, managing client documentation requests, and sequencing the edit and approval processes for new and renewing documents. Coordinate communication with the Legal Support Supervisor, Account Managers, Enterprise Sales Operations staff and other resources regarding details of customer contracts; i.e. obtaining required information, identifying procedural deviations and ensuring all procedural review steps are complete. Review contracts for compliance with predetermined guidelines, including: indemnity/liability, early termination on contracts with high sparing or backline costs, penalty clauses, OEM proprietary licensing restrictions, and payment terms. Prepare and submit transactional paperwork for clients, vendors, etc. Perform legal research and analyze results. Draft contract language that meets company standards. Work to manage risks within the parameters set by the company. Escalates all items that require approvals for deviations from standard terms. Maintain legal files appropriately and logically. Collaborate with Senior Contract Administrator and Senior Staff to make recommendations. Participate in process improvement identification and implementation. Understands legal and financial risks and implications of contracts. Other projects and duties as assigned. Must have Bachelor’s Degree or Associate’s Degree and experience; Paralegal degree or certificate and/or experience required. Should have 3+ years of transactional law, contract administration or equivalent experience: technology company, law office, or professional services experience, preferred. Microsoft Office suite with advanced skills and database experience required.
