Senior Counsel, Real Estate The candidate directly oversees the Company’s real estate legal function and advises the Real Estate and Property Management departments regarding property and regulatory developments impacting the company’s real estate holdings and leases. This position conducts the legal review of real estate contracts to include property and tenant leases, purchase and sales agreements, construction contracts and regulatory requirements at the city, state and federal level. Identifies legal issues and risk associated with real estate contracts, agreements and proposals. Also responsible for reviewing contracts developed by Real Estate and Property Administration and will evaluate and determine if contracts require escalation or additional consultation with the business unit for internal resolution. This position also supports other legal department staff members with corporate governance and maintenance of business critical documentation and company records. Monitor, advise, and assist Real Estate business partners, and Property Management business partners in analyzing, reviewing, drafting and administering leases, deeds, purchase or sales agreements, construction agreements and regulatory issues and requirements in compliance with industry standards. Draft and negotiate commercial real estate contracts, complex leases, waivers, SNDA’s, estoppels, and ancillary lease documents. Monitor and execute contract termination, cancellation, extension, or renewal. Analyze and render opinions on potential impacts of proposed changes to lease arrangements. Advise and assist the Real Estate and Property Administration on property contract law, regulatory and Americans with Disabilities compliance, liens, and licensing. Serve as an internal resource on regulatory questions to a diverse group of business executives and legal team colleagues responsible for real estate portfolio. Manage litigation related to all real estate matters/issues. Review and analyze significant, and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, as well as corporate and business unit policies and strategy. Interact with executives, business unit management teams, vendors, legal department, and outside counsel. Represent the company in all legal matters relating to real estate and property management. Assist in negotiations with external parties for purchase, sales and lease of properties. Assists business units with enforcement of contractual rights and obligations, including contractual related disputes. Act as primary administrator of company’s contract lifecycle management processes and systems. Uphold strict confidentiality at all times regarding all company information, including pending and completed negotiations and agreements. Provide cross-functional legal support, management and training as requested. Perform other duties as assigned.
Qualification and Experience
The candidate should have Juris Doctorate degree from an ABA accredited law school. A CA State Bar Membership or prompt registration as Registered CA In-House Counsel required. Must have 5–7 years of real estate legal experience, preferably in a law firm or real estate development firm; experience in drafting and negotiating commercial real estate leases is mandatory. Should have excellent contracts management, software and document management experience. Must have strong contract drafting, review and analysis skills, as well as ability to identify and analyze the general legal and contractual issues that affect privately held companies. Should have excellent communication (written and verbal) skills; ability to communicate and interact effectively and appropriately with diverse backgrounds and levels of the organization. Must have strong research and analysis skills. Should have strong management, coaching and training skills. Familiarity/experience with contract negotiation process is needed. Should have intermediate Word, Excel and PowerPoint skills.
