Counsel - Securities, Governance and Transactions The candidate will serve as a functional expert for SEC, NYSE and governance matters. Will provide advice and legal counsel on an as needed basis as a business unit/functional lawyer on commercial and strategic transactions. Assist in the preparation and filing of the company's SEC filings, including periodic reports, current reports and registration statements. Lead the drafting and filing of the company's annual proxy statement, including the CD&A, and managing shareowner and management proposals. Assist in the preparation for the company's annual stockholder meeting. Advise on insider trading programs and policies, including ensuring compliance with all Section 16 requirements for the company's affiliates. Ensure the company's compliance with NYSE listing standards. Assist the Office of the Corporate Secretary to monitor and implement governance practices for the company and manage the company's shareowner outreach program. Assist the Office of the Corporate Secretary with the preparation of materials required for meetings of the Board of Directors and its Committees. Draft minutes for meetings of the Board of Directors and its Committees. Structure, draft, review and negotiate a variety of commercial agreements. Provide timely and efficient commercial legal guidance on a broad range of business topics including general corporate matters, antitrust, intellectual property, commercial law, trade, UCC provisions, dispute resolution, commercial liability and risk assessment.
Qualification and Experience
The candidate should have a J.D. degree and a license to practice law. Must have extensive experience in SEC, governance and/or corporate/general business law experience. Experience working with a publicly-traded company as a client or internal counsel is required. Good business sense broad business background with demonstrated ability to work with business teams is needed.
