Paralegal Duties: Coordinate and maintain files. Ensure all final documents are saved in a timely basis to iManage and Sharepoint. Oversee legal record retention for the Americas. Set up and maintain data rooms for the proper distribution of private placement documentation and other legal documents as necessary. Assist the Americas and Global Legal Teams with such matters as may be required and provide legal support services for business activities in the Americas as needed. Review and negotiate NDAs and joinder agreements. Review and negotiate vendor contracts, sponsorship agreements, recruiting contracts, and engagement letters. Prepare 408(b)(2) and Form 5500 letters. Draft contract amendment agreements and termination notices. Complete subscription documents and coordinate KYC materials for fund investments. Draft investor transfer documents for certain private funds. Assist with fund liquidations. Prepare and coordinate Regulation D filings with external counsel. Prepare and coordinate other regulatory filings when requested by the Americas Legal Team. Prepare legal response documents as required by the business, with oversight from the Americas Legal Team members. Prepare notarizations, apostillizations and consularizations as required.
Qualification and Experience
Qualifications: B.A./B.S. Degree preferred. Must attend conferences related to the position as requested. Pennsylvania notary license required (reasonable period of time will be permitted to take the test if the candidate does not currently hold the license). Experience in the investment management field with a preferred emphasis on private placement, private markets and advisory work. Broker-dealer experience also helpful. Must have strong oral communication skills, have good organizational skills and be able to collaborate with and between internal lawyers and business persons. Must have excellent organizational skills, strong work ethic and a flexible and professional attitude. Must have the ability to multi-task and prioritize without supervision. Must have proven advanced knowledge of MS Office Suite and PowerPoint.
