General Counsel Duties: Reporting to the CEO, will provide strategic legal advice and oversee all legal matters across the organization. Will advise the trustees, executive team, and senior management on governance, contracts, risk management, real estate transactions, litigations, benefits, and employment law issues. Manages complex and sensitive matters and provides material assistance on a variety of matters. Will serve on and contribute to the executive leadership team, which sets the strategic direction of the organization, evaluates and makes decisions regarding risk mitigation, and represents leadership to the employee population. Work through advising on: Contracts, Union negotiations, Organizational policy issues, Advocacy and lobbying issues, Trademarks and other intellectual property issues, Communications, Risk assessment , Staff-friendly policies, procedures, and systems around legal compliance issues, Workplace safety and vaccination issues, Preparation, review, and execution of legal documents, Advancing commitment to diversity, equity, and inclusion. Work closely with the executive team and Board of Trustees to ensure organizational compliance with applicable federal, state, and local laws and regulations. Develop and implement systems and processes for organizational compliance related to its nonprofit status, funding streams, and contract obligations. Guide and advise leadership and staff on compliance related to lobbying and legislative advocacy. Advise officers of the Board on matters of organizational governance and compliance with governing law. Play a key role in contract negotiations with government, philanthropic, and nonprofit partners; once secured, ensure organizational compliance with contracts. Oversee review and negotiation for a variety of contracts including but not limited to grants and funding contracts, consultant agreements, memoranda of understanding, leases, and data sharing agreements. Work with the executive team and trustees in strategic planning; anticipate issues, estimate risks strategically, and identify a proactive solution. Serve as the primary legal advisor to Human Resources, advising on collective bargaining, determinations, and outcomes of disciplinary or investigative process and legal considerations for organizational returning to work processes.
Qualification and Experience
Qualifications: JD Degree from an accredited law school and 10+ years of related work experience. Current admission to the New York bar is required. Experience at a major law firm, in-house at a large corporation, and/or at a private foundation, 501(4) social welfare organization or public charity is required. A demonstrated commitment to diversity, equity, inclusion, and belonging. Superior verbal and written communication skills. Excellent judgment and discretion, especially regarding confidential and sensitive matters. Demonstrated ability to work collaboratively with colleagues to balance legal and risk concerns with available resources and service delivery environments. Strong interpersonal skills, including a deep commitment to customer service, humility and the ability to learn quickly and work effectively with the CEO and clients at all levels of the organization. Strong analytical skills and demonstrated ability to understand complex legal concepts and offer succinct explanations and counsel to colleagues. Strong understanding of general nonprofit law and tax regulations pertaining to nonprofit organizations in the State of New York . Experience with, and working knowledge of, the federal and state laws applicable to nonprofit organizations is required . Self-starter with the ability to work independently but with the judgment to know when to seek guidance and counsel from pro bono partners and outside counsel. Flexibility and adaptability to address legal concerns in a dynamic environment.
