ProfileTemporary to Hire Corporate Paralegal The candidate will maintain corporate compliance of company's U.S. and international subsidiaries. Assist the General Counsel in all aspects of preparing for Board of Directors and committee meetings of parent company. Facilitate the formation, qualification, merger and dissolution of U.S. and international entities. Partner with Company's Finance and Tax Department on all matters requiring corporate support. Manage the private equity of company by tracking the holdings of its shareholders, preparing various equity agreements, and facilitating the repurchase of shares. Provide transactional support for foreign and domestic acquisitions and dispositions. Serve as an elected Assistant Secretary for U.S. and Canadian entities. Handle general administrative functions on an as-needed basis. Must have Bachelors' Degree and Paralegal Certificate. Should have 5+ years of experience as a Corporate Paralegal with knowledge of both U.S. and international corporate law. Should have comprehensive knowledge and experience with corporate finance. Interpersonal skills necessary to communicate effectively with a variety of individuals at all levels of the organization is needed. Proficient in Microsoft Office is must. Experience with Intellectual Property filings in U.S. and/or aboard is a plus. Previous CT/HQ Database experience is helpful.
