Key Responsibilities:

  • Represent issuers and investment banks in public and private securities offerings, including initial public offerings (IPOs), secondary offerings, and private placements.
  • Advise publicly traded companies on compliance with the Securities Exchange Act of 1934, SEC regulations, and exchange listing standards.
  • Guide on corporate governance issues, including board and committee practices, executive compensation, and shareholder relations.
  • Draft, review, and negotiate complex securities-related agreements, including underwriting agreements, registration statements, and disclosure documents.
  • Conduct legal research and stay updated on relevant laws and regulations to ensure compliance and offer strategic advice to clients.
  • Collaborate with other attorneys and professionals within the firm to deliver comprehensive legal solutions and achieve client objectives.
  • Manage and mentor junior attorneys and support staff, fostering a collaborative team environment.
  • Demonstrate a solid commitment to client service, displaying enthusiasm and initiative in all client interactions.

Requirements:

  • A minimum of 8+ years of experience in securities and capital markets law, with a proven track record of representing issuers and investment banks.
  • Extensive experience advising publicly traded companies on compliance with the Securities Exchange Act of 1934, exchange listing standards, and corporate governance.
  • Relevant prior experience working in a law firm setting.
  • Ability to work collaboratively in a team environment and contribute to a positive workplace culture.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
