A law firm in Los Angeles is seeking a Corporate Associate Attorney with 3-4 years of experience in corporate law. The ideal candidate will have a solid understanding of federal securities laws, rules, and regulations, and a broad range of experience with corporate transactions, including private offerings of equity securities, mergers and acquisitions, joint ventures, and general corporate matters. Experience representing venture capital, growth equity, or private equity firms, as well as investment fund formation and compliance with relevant regulatory requirements, is preferred. Strong analytical, interpersonal, and communication skills are essential, along with a demonstrated commitment to teamwork and client service.

Duties and Responsibilities:

  • Provide legal counsel on a broad range of corporate transactions, including private offerings of equity securities, mergers and acquisitions, joint ventures, and general corporate matters.
  • Represent clients in venture capital, growth equity, or private equity transactions, including fund formations and ongoing investment firm operations.
  • Draft and review LLC agreements, LP agreements, and other related corporate documentation.
  • Ensure compliance with federal securities laws, rules, and regulations, including the Investment Company Act, the Investment Advisers Act, and the Securities Act.
  • Collaborate with clients and legal teams to manage and execute corporate transactions.
  • Conduct due diligence and prepare legal opinions related to corporate transactions.
  • Provide strategic advice on transaction structures, risk management, and regulatory compliance.
  • Maintain and develop client relationships, offering high-quality service and support.
  • Demonstrate a commitment to teamwork and exceptional client service.

Requirements:

  • 3-4 years of experience in corporate law, with a focus on corporate transactions.
  • Experience representing venture capital, growth equity, or private equity firms preferred.
  • Knowledge of federal securities laws, including the Investment Company Act, the Investment Advisers Act, and the Securities Act.
  • Experience in investment fund formation and compliance with relevant regulatory requirements preferred.
  • Strong analytical and interpersonal skills.
  • Excellent written and verbal communication skills.
  • Demonstrated commitment to teamwork and client service.
  • Major law firm experience preferred.
  • High level of academic achievement.
  • Admission to the State Bar of California.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Admission to the State Bar of California.

Skills:

  • Proficient in corporate transactions, including drafting and negotiating key agreements.
  • Strong understanding of federal securities laws and regulatory compliance.
  • Experience in investment fund formation and related regulatory matters.
